These Terms of Service ("Terms") are a binding agreement between you ("you," "user") and NORELIX LIMITED, trading as "PriceYou," a company incorporated in Ireland (Company No. 817569) ("PriceYou," "we," "us," "our"), governing your access to and use of the PriceYou website, web application, mobile applications, and related services (collectively, the "Service"). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, Subscription & Billing Terms, Refund & Cancellation Policy, Financial / Valuation Disclaimer, and Cookie Policy, each incorporated by reference. If you do not agree, do not use the Service.
1. ELIGIBILITY
You must be at least 18 years old and able to form a binding contract. By using the Service you represent that you meet these requirements and that the information you provide is accurate and complete.
2. DESCRIPTION OF THE SERVICE
The Service enables users to subscribe to brands and product categories across the luxury, premium, mid-market and mass-market segments (including, without limitation, watches, handbags, jewellery and similar goods) and receive notifications regarding retail price changes, discounts, new product releases, resale opportunities and other market signals.
Users may also create a personal portfolio by photographing and registering items they own using the Service. Based on market information and third-party data, the Service provides estimated portfolio values, historical value changes and performance analytics for informational purposes only. The Service does not require or encourage users to upload images obtained from third-party websites or other sources.
3. ACCOUNTS AND SECURITY
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. We offer two-factor authentication (2FA) and recommend you enable it. Notify us immediately at security@price.you of any unauthorized use. We are not liable for losses arising from your failure to safeguard your credentials.
4. SUBSCRIPTIONS, TRIALS, AND BILLING
The Service offers a free tier and paid subscriptions, including a trial period. Pricing, billing cycles, auto-renewal, trial conversion, cancellation, pause, and refund terms are described in the Subscription & Billing Terms and Refund & Cancellation Policy, which form part of these Terms. Payments are processed by third parties (e.g., Stripe on the web; Apple App Store and Google Play for in-app purchases); their terms also apply.
5. USER CONTENT
The Service allows you to upload photographs of items you own, purchase prices, notes, receipts, certificates, provenance information and other content ("User Content"). You retain ownership of your User Content. You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, and display your User Content solely to operate and provide the Service to you. You represent that you have the rights to upload your User Content and that it does not infringe any third-party rights or violate any law.
Users should upload only photographs and other materials that they own or have permission to use. Uploading copyrighted images obtained from third-party websites or other unauthorized sources may result in removal of the content and, where appropriate, suspension or termination of the user's account. We may remove any content that infringes intellectual property rights or otherwise violates these Terms or our DMCA / Copyright Policy.
6. ACCEPTABLE USE
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to the Service or other users' data; (c) scrape, reverse engineer, or interfere with the Service; (d) resell or commercially exploit the Service without our permission; (e) upload malicious code or infringing, defamatory, or unlawful content; or (f) misuse valuations or signals as if they were guaranteed prices or professional advice.
7. INTELLECTUAL PROPERTY
The Service, including its software, design, text, and trademarks (excluding User Content and third-party marks), is owned by PriceYou or its licensors and protected by intellectual-property laws. We grant you a limited, revocable, non-transferable license to use the Service for personal, non-commercial purposes in accordance with these Terms. Brand names and marks referenced in the Service belong to their respective owners and are used for identification only; PriceYou is not affiliated with or endorsed by them.
8. THIRD-PARTY DATA, VALUATIONS, AND SIGNALS
The Service aggregates information from third-party and public sources and uses proprietary algorithms to generate estimated valuations, forecasts and market signals. Such estimated values are not official appraisals and should not be relied upon as the actual market value of any item.
Such information may be inaccurate, delayed, or incomplete. It is provided "as is" for informational purposes and is not an offer, guarantee, appraisal, or investment, financial, tax, or legal advice. See the Financial / Valuation Disclaimer.
9. NO PROFESSIONAL ADVICE
PriceYou does not provide investment, financial, appraisal, tax, insurance, or legal advice, and no fiduciary or advisory relationship is created. You are solely responsible for your buying, selling, and holding decisions and should consult qualified professionals.
Historical performance or increases in estimated portfolio value do not guarantee future appreciation.
10. DISCLAIMERS OF WARRANTIES
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that valuations or signals will be accurate or timely.
We do not guarantee that any valuation, forecast, resale opportunity or market signal will be accurate, complete, profitable or suitable for your individual circumstances.
11. LIMITATION OF LIABILITY
To the maximum extent permitted by law, PriceYou and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, or for any decisions made in reliance on valuations or signals. Our total aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve (12) months before the event giving rise to the claim, or (b) USD 100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
We are not responsible for the accuracy, availability or reliability of data supplied by third-party providers or for interruptions caused by such providers.
12. INDEMNIFICATION
You agree to indemnify and hold harmless PriceYou from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your breach of these Terms.
13. TERMINATION
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms or if required by law. Upon termination, your right to use the Service ends; provisions that by their nature should survive (e.g., IP, disclaimers, limitation of liability, dispute resolution) will survive.
Following account deletion, User Content will be deleted or anonymized within a reasonable period, except where retention is required by law or for legitimate business purposes.
14. CHANGES TO THE SERVICE AND TERMS
We may modify the Service or these Terms. If we make material changes, we will provide notice (e.g., by email or in-app). Continued use after changes take effect constitutes acceptance. If you do not agree, stop using the Service.
15. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict-of-laws rules.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual claim in small claims court if eligible.
The arbitration shall be conducted in English by a neutral arbitrator under the rules of the American Arbitration Association (AAA), unless otherwise agreed by the parties. The place of arbitration shall be Delaware, United States, unless the parties agree otherwise.
You and PriceYou agree that any dispute will be brought only on an individual basis and not as a class action, collective action, or representative proceeding.
You may opt out of this arbitration agreement by sending written notice to hello@price.you within thirty (30) days after you first accept these Terms.
For EU/UK consumers, mandatory local consumer protections are not waived.
16. MISCELLANEOUS
These Terms, together with the incorporated policies, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
